1. Membership Your Vidly membership will continue until you unsubscribe it. To use Vidly you must have internet access and a Vidly compatible device, and provide us with one or more payment methods. Our payment methods are updated time to time depending upon the third party integrated payment methods. We offer a number of membership plans, including membership offered by third parties in conjunction with the provision of their own products and services. We are not responsible for the services provided by third parties. In some cases membership plans may have different limitations and conditions.

2. Promotional Offers We may offer promotional offers and plans for membership time to time and their eligibility is determined by Vidly and we reserve the right to revoke any promotional offer.

3. Billing and Cancellation The membership fee and any other charges like taxes and possible transaction fees may occur, will be charged to your payment method on the specific payment date shown on the "Subscription Plans" page. The length of your billing cycle will depend upon the package that you select. Upon subscription, user agrees to service recurring charges, auto-renewal until unsubscription & discounted pricing from mobile balance

3.1 Payment Methods. To use Vidly you must provide one or more payment methods. You allow us to charge any payment method associated to your account. Vidly provides different payment methods based on the country or region you are living in. Payment methods include Telco billing options, Visa debit/credit card and other wallet option. Detail about our packages and payment methods are given on the "subscription plan" page.
3.2 Updating your Payment Methods. You can update your Payment Methods by going to the "Account" page. Following any update, you authorize us to continue to charge the applicable Payment Method(s).
3.3 Cancellation. You can cancel our service anytime by clicking the "unsubscribe" button on "my account" page.
3.4 Subscription and Un-subscription Notifications. Service subscription & unsubscription notification sms for services subscribed & unsubscribed after 9pm, will be sent as per the service policy. Service renewal sms notifications may be sent as per our service policy.

4. Vidly Service

The Vidly service and any content viewed through the service are for your personal and non-commercial use only and may not be shared with any other individual. During your Vidly membership we grant you a limited, non-exclusive, non-transferable, revocable right to access the Vidly service and stream Vidly content. Except for the foregoing, no right, title or interest shall be transferred to you. You agree not to use the service for public performances.
You may view the Vidly content primarily within the country in which you have established your account and only in geographic locations where we offer our service and have licensed such content. The content that may be available to watch will vary by geographic location and will change from time to time. Vidly may enable/disable any content at any time at its sole discretion.
You agree to use the Vidly service, including all features and functionalities associated therewith, in accordance with all applicable laws, rules and regulations, or other restrictions on use of the service or content therein. You agree not to archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use (except as explicitly authorized in these Terms of Use) content and information contained on or obtained from or through the Vidly service. You also agree not to: circumvent, remove, alter, deactivate, degrade or thwart any of the content protections in the Vidly service; use any robot, spider, scraper or other automated means to access the Vidly service; decompile, reverse engineer or disassemble any software or other products or processes accessible through the Vidly service; insert any code or product or manipulate the content of the Vidly service in any way; or use any data mining, data gathering or extraction method. In addition, you agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the Vidly service, including any software viruses or any other computer code, files or programs. We may terminate or restrict your use of our service if you violate these Terms of Use or are engaged in illegal or fraudulent use of the service and take legal action as per the applicable law.
The quality of the display of the Vidly content may vary from device to device, and may be affected by a variety of factors, such as your location, the bandwidth available through and/or speed of your Internet connection. Vidly holds no responsibility for outage or disruption of service.You agree not to store/copy Content other than Vidly's allowed designated location on your Device
You agree not to re-produce or record or make copy of the Content available on Service.
You agree not to allow others to re-produce or record or make copy of the Content available on Service.
You agree to remove downloaded content after service un-subscription, otherwise it is an infringement with legal consequences as per Law and relevant Content Licensors and Vidly will be allowed to act accordingly as per law in order to safeguard their interests.
Vidly Service and the Content are the property of Vidly and Vidly's Licensors Only
You also agree to Login/visit the Service at least once every week and refresh/sync locally downloaded content with Vidly Service to get update and comply with Licensing Rights from copyrights holders.
Vidly licenses new content or renews license of existing content from multiple content providers globally from time to time. During this process Vidly may decide to not to renew the license of some content and will be obligated to remove content from Vidly platform after expiry of the license. Once the license expires, Vidly will remove content from the platform and will send out updates to mobile applications installed in user's mobile phones to remove the locally downloaded content. If user does not turns on internet and visits service described in this Agreement, then all liabilities of Content infringement and illegal use will lie with that user only and Vidly will not be liable to hold responsible in this regard. That user will be responsible to recover all damages, legal fee(s) etc. in case if Vidly receives any lawsuit due to the infringement and action of user.

5. Warranties and Limitations on Liability. The Vidly service is provided "as is" and without warranty or condition. In particular, our service may not be uninterrupted or error-free. You waive all special, indirect and consequential damages against us. These terms will not limit any non-waivable warranties or consumer protection rights that you may be entitled to under the mandatory laws of your country of residence.

6. Advertisements For advertisement purposes and revenue Vidly may support ads on its services. These advertisements may be targeted to any section of Service including but not limited to the content of information stored on the Services, queries made through the Services, or other information.

The manner, mode, and extent of advertising by Vidly on the Service are subject to change without specific notice to you. In consideration for Vidly granting you access to and use of the Services, you agree that Vidly may place such advertising on the Services.

Other than as stated in the Terms and Conditions or as explicitly agreed upon in writing between you and Vidly, the Agreements constitute all the terms and conditions agreed upon between you and Vidly and supersede any prior agreements in relation to the subject matter of these Agreements, whether written or oral. If you have any objection over any of the above mentioned Terms & Conditions, you may stop using Vidly Service instantly. However, stopping usage of the Vidly service will not relieve you from any of the liabilities incurred prior to the stoppage of service.

Vidly reserves the right to update this Agreement at any time without any notice. The updated version will be published on the "Terms and Conditions" page. The updated version shall replace the previous version from the date on which it is published. The updated version shall have the same legal binding force on the Parties as this Agreement. User shall inquire the updates on the website and download the updated version therefrom. If User has any objection to the updates, it shall promptly submit it to the corresponding Vidly Support contact and negotiate with Vidly on the updates. If User does not file any objection within one (1) day upon the publishing of updated version, it shall be deemed as that, User has unconditionally accepted the updated version and content. It is the sole responsibility of the user to frequently visit and get himself/herself acquainted with the new Terms and Conditions/Service Policies.
